What the paid Case Review is for

The Case Review is a focused pre-formation check for foreign founders who need a reliable answer before choosing a Romanian SRL package. It is useful when citizenship, residence, signing method, foreign documents or the ownership structure make the standard route uncertain.

For €50, we review the information and documents that affect eligibility and preparation. The purpose is to identify the practical route before company documents are drafted or a filing is submitted to the Romanian Trade Register.

This is also the step that confirms whether your file fits the fixed €490 standard package or needs a separate formation quote.

What we check

The review is based on the facts of your proposed company rather than nationality alone. Depending on the case, we check:

• your passport or national identity document;
• citizenship, current residence and address details;
• the proposed shareholders and administrators;
• whether an individual or a foreign legal entity will hold shares;
• the intended business activity and likely CAEN direction;
• whether you need a Romanian registered office;
• the signing route for a remote formation;
• likely translation, notarisation, apostille or legalisation requirements;
• inconsistencies or missing information that should be resolved before drafting.

If a foreign company will be shareholder, send the available registry documents and representative details from the beginning. Corporate-shareholder files normally require a different review from a standard individual-founder case.

What you receive after the review

You receive a practical written assessment of the formation route. It identifies the documents available, the items still missing and the next step that fits your case.

The response will tell you whether the file appears to match the eligible standard-case profile, whether remote handling can be planned with the documents supplied and whether additional formalities or a separate quote are required.

The Case Review is deliberately separate from company formation. It lets you understand the file before committing to the larger service and avoids treating a complex case as standard simply because the founder is abroad.

When a Case Review is especially useful

Choose the review when you are unsure whether your documents are sufficient, when you live in a different country from your citizenship, or when a power of attorney or foreign corporate document may be needed.

It is also appropriate for files involving several shareholders or administrators, a foreign legal entity, different spellings of names and addresses, non-Latin-script documents, an unclear signing route or activities that may require additional checks.

If your situation is already a straightforward eligible standard case, the review can confirm whether the one-payment €490 package is the correct route. That package includes formation, lawyer-led ONRC representation, the ONRC fee and a registered office for 12 months.

What the €50 fee does not include

The Case Review does not itself form the company. It does not include drafting the articles of association, reserving the company name, submitting the ONRC file, representing you in the formation procedure or providing the registered office.

Those services begin only after the review route and the applicable package or quote have been confirmed. Certified translations, notarisation, apostilles and legalisation are also separate when they are required.

What to send

After payment, send one structured message containing:

• a clear copy of your passport or national ID;
• your citizenship and current country of residence;
• your current residential address;
• the intended shareholders and administrators;
• the business activity you want the SRL to perform;
• whether you need a registered office in Romania;
• any foreign-company documents if a legal entity will hold shares;
• any specific concern about travel, signing or document validity.

Complete information produces a more useful review. If a document is unavailable, state that clearly rather than substituting an unrelated document.

What happens next

If the case fits the standard route, you can proceed to the appropriate formation package with a confirmed document list. If it is non-standard, you receive the reason and the additional scope that must be priced or resolved first.
