Romanian company for eMAG, Allegro, Cdiscount and Amazon sellers

How a foreign seller sets up a Romanian SRL to sell on online marketplaces: the activity code for your products, stock and returns, VAT and what the platforms check.

Who this guide is for

This guide is for sellers based outside Romania, often outside the EU, who want a Romanian company to sell physical goods through online marketplaces such as eMAG, Allegro, Cdiscount and Amazon. It covers what the company needs at the Trade Register: the right activity codes, the address questions that come with stock and returns, the ownership structure and the steps that follow registration.

We have set up SRLs for marketplace sellers, and for one individual founder selling an ordinary product range it is usually a standard formation.

eMAG, Allegro, Cdiscount and Amazon are named here only to describe where sellers trade. We are not affiliated with any of them, and each platform decides for itself whom it accepts as a seller.

Do you need a Romanian company to sell on a marketplace?

Not always. Each platform sets its own list of accepted countries, legal forms and documents. eMAG, for example, also publishes guidance for non-resident companies that register for VAT in Romania. A foreign company can therefore sometimes sell without a Romanian SRL.

Sellers choose a Romanian SRL when they want:

  • a company inside the EU, entered in the Romanian Trade Register, with its own tax code (CUI);
  • documents a platform can check directly: the registration certificate, the articles of association and the ID of the legal representative;
  • a Romanian base for stock, returns and a local pickup point;
  • one entity for Romanian customers, invoices and accounts.

What the platforms check

EU law requires online marketplaces to know who their business sellers are. Under the Digital Services Act, a platform that lets consumers buy from traders must collect the trader's name and contact details, an identity document, payment account details and, where the trader is registered, its trade register number, and it must make its best efforts to check that this information is reliable and complete.

Each platform turns this into its own document list. At the time of writing (September 2026), eMAG's seller information asks, among other things, for the legal representative's ID, the articles of association, the Trade Register registration certificate, a VAT certificate if the company is a VAT payer, a bank statement showing the company's name or tax code, and a document proving the registered office. International sellers must also provide a pickup point in Romania.

Allegro, Cdiscount and Amazon run their own onboarding, with their own accepted countries, documents and VAT checks. These rules change, so read each platform's seller centre before you decide on the structure.

The activity code follows the product, not the channel

This is where most online sellers go wrong. In CAEN Rev. 3, the Romanian activity classification in force since 1 January 2025, retail sale is classified by the goods sold, not by the way they are sold. A shop, your own website and a marketplace listing that all sell clothing use the same code.

Choosing your retail code

  • Specialised retail (47.2x to 47.8x) covers one product family. Examples: 47.71 clothing, 47.72 footwear and leather goods, 47.75 cosmetic and toilet articles, 47.54 electrical household appliances, 47.40 information and communication equipment (computers, phones and their accessories), 47.63 sporting equipment, 47.64 games and toys, and 47.78 other new goods.
  • Non-specialised retail fits a broad catalogue: 47.12 when food, drinks or tobacco are not the main part of it, 47.11 when they are.
  • Second-hand goods have their own code, 47.79.

The code sellers should not choose

Codes 47.91 and 47.92 now cover intermediation: arranging sales between buyers and sellers for a fee or commission, without owning the goods. That describes the marketplace operator, not you. If your company buys goods and resells them in its own name, it is a retailer and belongs in 47.1 to 47.8, even if every sale happens on a platform.

Wholesale, storage and digital goods

  • Selling to businesses rather than consumers is wholesale, in division 46, again grouped by product. Many sellers declare a retail code as the main activity and the matching wholesale code as a secondary one.
  • Storing your own stock is part of trading and does not need a separate code. Code 52.10, warehousing and storage, is for companies that store other people's goods as a service.
  • Digital products such as e-books or software downloads are not retail trade in division 47 and are classified elsewhere.

Choose one main code, for the product line you expect to bring most of the revenue, and add secondary codes only for activities you will actually carry out. You can read the full English notes for each code in our CAEN code search.

Product rules are separate from the company

Registering the company and its codes does not authorise every product. Some categories, such as food, pharmaceutical and medical products, alcohol and tobacco, have their own rules and authorities, and platforms often approve these categories separately. We register the company and its activity codes. Product authorisations and platform category approvals are separate processes that we do not handle.

Registered office, working point and stock

Every SRL needs a registered office in Romania. Our registered-office service provides the company's legal address. It is not a warehouse, a returns address or a pickup point, and goods cannot be stored or shipped from it.

If you keep stock, pack orders or accept returns at a Romanian address, that place is normally registered as a working point (punct de lucru), a secondary location of the company recorded at the Trade Register. A working point can be registered together with the formation or added later as a company change. It can also bring its own tax registration steps, which your accountant handles.

If a logistics provider stores and ships goods for you under a service contract, tell us at the start. We will check with you whether the arrangement needs to appear in the company's registration.

Your structure: individual or company shareholder

VAT, imports and cross-border sales

VAT is where a marketplace business differs most from a service company. Plan these points with your accountant before the first sale:

  • Romanian VAT. In 2026 the standard rate is 21% and the reduced rate is 11%. A company can stay outside VAT until its turnover reaches RON 395,000. Marketplaces ask whether you are a VAT payer. If you need a Romanian VAT number from the start, say so at the beginning so it can be requested together with the registration. The tax authority (ANAF) decides on the request.
  • Imports from outside the EU. Goods imported for resale go through customs, and the importer normally needs an EORI number. Since 1 January 2026, Romania charges a logistics fee of RON 25 per parcel on imports from outside the EU worth less than €150, which matters for drop-shipping models.
  • Sales to consumers in other EU countries. Distance sales have their own VAT rules, including the EU One Stop Shop (OSS) scheme.

VAT registration after formation, OSS, EORI, customs, e-invoicing and bookkeeping are separate processes that we do not handle. We can refer you to an accountant who works with foreign-owned companies.

What it costs

For an eligible standard case, the fixed €490 package covers the formation, lawyer-led representation at the Trade Register, a registered office for 12 months and the ONRC fee. It applies to one individual shareholder, one administrator and an ordinary retail activity that does not need a product authorisation.

Formation only starts from €300, and formation with a registered office from €450. Changes to an existing company, such as adding a working point or new activity codes, start from €200. A foreign company as shareholder, several shareholders or regulated products are quoted separately after review. All options are on the prices page.

After registration

Once the company exists, you open a bank account in its name with the bank of your choice, appoint an accountant, settle the VAT position and then complete each platform's seller onboarding yourself. Our after-incorporation checklist lists the usual steps.

Clear answers before filing

Which CAEN code should I use to sell on eMAG or Amazon?

The retail code for the products you sell, from 47.1 to 47.8, for example 47.71 for clothing or 47.40 for computers and phones. In CAEN Rev. 3 the code follows the product, not the sales channel, so a marketplace seller uses the same code as a shop selling the same goods.

Is 47.91 the code for an online shop?

No. Codes 47.91 and 47.92 cover intermediation: arranging sales for a fee or commission without owning the goods. That describes the platform operator. A company that buys goods and resells them in its own name is a retailer.

Can the registered office be my warehouse or returns address?

Not with our registered-office service, which provides a legal address only. A Romanian address where you keep stock, pack orders or accept returns is normally registered as a working point, either at formation or later as a company change.

Do I need a Romanian VAT number to sell on a marketplace?

It depends on your turnover, where your goods come from and where your customers are, and each platform asks about your VAT status. If you need a Romanian VAT number from the start, it can be requested together with the registration, and ANAF decides. Your accountant should settle the VAT position before the first sale.

Can my existing foreign company own the Romanian SRL?

Yes. A foreign company can be the shareholder, but the file needs proof of the company's existence and of the signatory's authority, with translations where required. This case is quoted separately after review.
